NUTRAONE AFFILIATE PARTNERSHIP AGREEMENT
This Affiliate Partnership Agreement (“Agreement”) is entered into between:
NutraONE, a premium wellness and beauty distribution company operating in the United Arab Emirates (“Company”), and [Influencer / Partner Legal Name] (“Partner”).
Purpose
The purpose of this Agreement is to establish a professional, independent, and non-employment relationship under which the Partner may recommend NutraONE’s premium wellness and beauty products in an authentic, compliant, and brand-aligned manner.
Relationship of Parties
Nothing in this Agreement shall be deemed to create any partnership, employment, agency, or joint venture relationship.
The Partner acts solely as an independent contractor and has no authority to bind the Company.
Scope of Collaboration
The Partner may create educational, lifestyle, and promotional content featuring NutraONE products and may use a VIP referral code provided by the Company.
The Partner shall not:
- Make medical claims
- Publicly disclose pricing
- Misrepresent NutraONE or any of its distributed products
UAE Legal & Regulatory Compliance
The Partner agrees to comply with all applicable UAE laws including Consumer Protection Law, National Media Council advertising regulations, and MOHAP guidelines.
All sponsored content must be clearly disclosed.
Compensation & Profit Incentive
The Partner shall earn profit incentives on net confirmed sales generated via referral code as detailed in Appendix A.
Payments are made monthly on a Net 30 basis after adjustments.
Confidentiality
All commercial terms, referral structures, and internal communications shall remain confidential.
Intellectual Property
The Company retains ownership of original content.
The Partner may repost such content for marketing purposes with proper attribution.
Termination
Either party may terminate this Agreement with sixty (60) days written notice.
Immediate termination may occur in case of breach or regulatory non-compliance.
Governing Law & Jurisdiction
This Agreement shall be governed by the laws of the United Arab Emirates.
The courts of Dubai shall have exclusive jurisdiction.
Referral Code & Payment Process
Overview
NutraONE operates a recommendation-based referral program. Partners are rewarded for genuine recommendations that result in confirmed customer purchases of NutraONE products, including Nutrifactor supplement products and selected skincare products, subject to the applicable commission structure outlined in this Agreement.
VIP Referral Code Assignment
Each Partner is assigned a unique personal referral code.
The code is exclusive to the Partner and must not be shared or represented as a public discount.
Referral Flow
- The Partner recommends NutraONE supplement products (Nutrifactor) using approved brand language.
- The Partner purchases one supplement product from the website and receives 100% cash reimbursement subject to content creation and positive Google and website reviews.
- A third-party customer completes a purchase using the referral code or link.
- The system records and attributes the order to the Partner.
- Orders are validated for payment completion, non-cancellation, and non-refund.
- After validation, successful orders are attributed to affiliate sales.
Profit Incentive Eligibility
Commission is calculated on confirmed net sales excluding VAT, delivery charges, refunds, or cancelled orders.
Reporting
Influencers will receive a monthly performance statement detailing referred sales and incentive profit earned.
Payment Cycle
Incentive payments are processed monthly on a Net 30 basis via bank transfer.
Tax Responsibility
Influencers act as independent contractors and are solely responsible for any personal tax or VAT obligations.
Misuse & Compliance
NutraONE reserves the right to suspend referral codes and withhold commissions in cases of misuse, misrepresentation, or regulatory non-compliance.
Final Settlement
Upon termination, commissions earned on confirmed net sales up to the termination date shall be paid in the next scheduled payment cycle.
Appendix A – Sales Target & Incentive Profit % Schedule
Supplement Products
- From AED 0 to AED 20,000.00 – 10% incentive
- From AED 20,000.00 up to AED 30,000.00 – 15% incentive
- Above AED 30,000 – 20% incentive
Skincare Products
- Flat 5% commission on all other Skincare sales.
Commission is calculated on net sales excluding VAT.
